Photo, Video & Content Release

Please read this Photo, Video & Content Release (the "Release") carefully. By requesting an invitation to, registering for, and/or attending the Event, you ("you", the "Participant") grant the rights described below to Super Luxury Group LLC and its designees.

1. Grant of Rights

You grant to Super Luxury Group LLC and House of Wellness, and their respective affiliates, successors, assigns, and licensees (together, the "Company"), the perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable right and license to record, capture, photograph, film, use, re-use, reproduce, edit, modify, adapt, combine with other materials, publish, distribute, display, perform, broadcast, stream, and otherwise exploit, in whole or in part:

• your name, likeness, image, photograph, portrait, silhouette, voice, appearance, biographical information, and any statements or testimonials you make; and
• any and all photographs, video, audio, film, and other content in which you appear, or that you create, capture, post, or share, in connection with the Event ("Content").

This grant applies in any and all media and formats now known or hereafter devised, including social media, websites, advertising, marketing, promotional, editorial, and commercial uses, throughout the world, in perpetuity, for any purpose, and without limitation as to the number of uses.

2. Ownership

All Content, and all intellectual property rights in it, are and shall be owned exclusively by the Company. To the extent you own or acquire any right, title, or interest in any Content, you hereby irrevocably assign and transfer all such rights to Super Luxury Group LLC; and to the extent any rights cannot be assigned, you grant the Company the exclusive, perpetual, worldwide license described in Section 1. The Company is not obligated to use the Content and may modify or decline to use it in its sole discretion.

3. No Approval Rights; Waiver

You waive any right to inspect or approve any Content or any use of it, including any finished product or the copy or context in which it may appear. You waive, to the fullest extent permitted by law, any and all rights of publicity and privacy, and any "moral rights," in the Content.

4. No Compensation

You acknowledge that you are not entitled to and will not receive any compensation, royalty, or other payment for the rights granted here or for any use of the Content, now or in the future.

5. Release of Claims

You release and discharge the Company from any and all claims, demands, or causes of action that you may have relating to the Content or its use, including claims for invasion of privacy, right of publicity, defamation, false light, infringement of copyright or other intellectual property, or any similar claim.

6. Irrevocable & Perpetual

This Release is irrevocable and perpetual. The rights granted here survive the Event and cannot be withdrawn. You agree that money damages would not be an adequate remedy for a breach and that the Company is entitled to equitable relief.

7. Governing Law; Severability; Entire Agreement

This Release is governed by the laws of the State of Florida, without regard to conflict-of-laws rules, with exclusive venue in the state or federal courts located in Miami-Dade County, Florida. If any provision is held unenforceable, the remainder remains in full force and the provision shall be enforced to the greatest extent permitted by law. This Release, together with the Event Waiver & Release of Liability, is the entire agreement between you and the Company regarding its subject matter.

8. Acknowledgment & Electronic Signature

I have read this Photo, Video & Content Release, fully understand it, and agree to it freely and voluntarily. I understand that checking the consent box and submitting the registration form constitutes my electronic signature under the U.S. E-SIGN Act and Florida's Uniform Electronic Transaction Act, and is intended to have the same legal effect as a handwritten signature.
